On October 3 and 4, 2025 the annual Kazan International Legal Forum was held at the new building of the Tatar State Academic Theatre named after Galiasgar Kamal, attended by representatives of public authorities, scholars and university professors, students, corporate lawyers and legal counsels, for the discussion of the most burning legal issues of 2025.
Alexey Gorodissky, Attorney, Partner and Practice leader Corporate Law /M&A, took part in the “Corporate Law: Business Structuring and M&A” session where its participants discussed several issues which are crucial for joint venture structuring and M&A transactions related support: the role and significance of the term sheet, impact of the so-called “shadow” participants on the transaction process, keeping balance between fundamental and operational issues.
Alexey gave his opinion based on his more than twenty-year experience derived from providing legal support in connection with investment projects and M&As. He cited examples from his recent hands-on practice.
Dmitry Yakushev, Attorney, Counsel of the Bankruptcy team, took the floor in the “Individuals’ Bankruptcy” session to deliver a presentation entitled “Problems of Exercising of the Preemptive Right at Personal-Bankruptcy Auctions”.
Dmitry told the audience how the policy of courts with respect to exercising of the preemptive rights of owners in common during sales of bankrupt's estate at auctions had been changing. He highlighted the principal problem of the current regulation: deliberate overpricing of assets before offering them for sale with the aim to enlarge the bankrupt estate at the expense of another stakeholder. Dmitry also voiced his opinion about the method of overcoming of those problems in courts and the way of streamlining of sales to minimize the abusive practice.
KILF is a unique cite for an open dialogue between representatives of authorities, science, and business. The two days with rich business program gave attendees of the forum invaluable experience of communications amid a friendly environment.
Representatives of public authorities took active part in an open dialogue with the business community, while both sides adhered to high loyalty standards, and representatives of science had a chance to maintain professional communication with leading Russian legal scholars and participate in a joint discussion of modern problems and law development research prospects.
