Andrey Gorodissky & Partners Law Firm’s team has completed providing legal support to Magnit, one of the leaders of Russian retail market, in connection with its acquisition of a 33.01% participation interest in the charter capital of Samberi, a Far-Eastern retailer, and an option transaction for the buy-out of the remaining participation interest over the next five years. The process of the above referenced deal started in October 2023. The first stage of the deal was closed in July 2024.
Samberi is the largest retailer in the Far East in terms of number of its stores and earnings. Its sales outlets are located in more than 50 residential areas in Primorski Krai, Khabarovski Krai, Jewish Autonomous Region, and Amur Region.
This deal has expanded the Magnit chain’s geography to the Far East. Now the retailer is present in all federal districts of Russia.
Magnit expects to get a synergetic effect relating to purchasing conditions and integrate best practices and technologies that will allow for upgrading the offer of products to buyers, further evolution of stores formats, and gaining a greater market share.
As a result of this deal Magnit’s total sales area has exceeded 10 mln sq. m. and the company will be the first retailer in Russia who has come up to this benchmark.
AGP’s team that managed this transaction was as before headed by Partner Alexey Gorodissky. At the closing stage Partners and Lawyers of the Law Firm Dmitri Lubomudrov, Irina Orlova, Daria Noskova, and Ruslan Dzhantemirov contributed to the work on this transaction.
